TERMS

WILTEC terms are Cash In Advance (CIA). If we have an approved reseller credit application on file, we will accept your company check for C.O.D. payments. Prior to the time your application is approved, shipments will be Cash In Advance only. You may avoid C.O.D. charges by prepaying CIA or transferring funds by wire directly to our bank. Ask for our bank and account number and be sure that your wire transfer instructions include the name of your business (as we show it on our records), and instructions to "call WILTEC at 910-763-8400 with the amount of the transfer immediately".

SOFTWARE LICENSE

Software supplied in/for a System by WILTEC is licensed to the System purchaser and successors for use only with the provided and associated WILTEC hardware. Purchaser agrees not to copy or reproduce the software provided by WILTEC Inc. for use in hardware not supplied by WILTEC Inc. without WILTEC's written express permission to do so.

TRAINING AND SUPPORT

We schedule periodic service training for resellers at our facility. This training is limited to two technical personnel per reseller and is scheduled to meet the needs of the majority of the participants. Training consists of a one-day course instruction. Included are manuals and information which will assist technical personnel in the operation and maintenance of WILTEC's products. Reseller must pay for their personnel's living and travel expenses.

ORDERS

You may place orders via phone, FAX or letter. We will send you written confirmation of receipt of your order via mail. Orders are considered firm unless they are changed prior to shipment. In the event that a change affects your order, we will attempt to notify you. Our volume prohibits our giving notice of shipment. We will honor requests to "call before shipment" as a courtesy only. Failure to call does not relieve you of your obligation to accept product that you ordered. WILTEC charges a 25% restocking fee plus shipping charges if you refuse delivery of product that you ordered.

INTERNATIONAL ORDERS

Prices are FOB our factory and acceptable methods of payment in U.S. dollars are wire transfer of funds directly to our account, letters of credit, sight drafts or bank drafts. Please ask for our standard letter of credit data and terms and conditions package to avoid costly delays, omissions or errors in letter of credit preparation. Please allow enough time for your order to be processed. It takes 4-8 weeks to get an export license after we receive your import certificate or ITA 629 form.

SHIPPING

WILTEC ships FOB our factory with shipping charges to be paid by the buyer. Title and all risks of loss or damage during shipment pass to the buyer upon consignment to the carrier for delivery. WILTEC retains a security interest in the product until such time as the product is paid for. If the product is damaged in transit, DO NOT REFUSE DELIVERY or return the product to WILTEC. This will result in a 25% restocking fee and additional freight charges. Notify the carrier of the damage and file a claim immediatley. WILTEC will assist you in obtaining the information necessary for filing a claim, but the obligation to file a claim for shipping damages is the buyer’s. Unless we receive instructions to the contrary, we will ship via Federal Express (two day service) to customers outside of NC. We insure UPS and Federal Express or other carrier shipments for full value and these charges will be paid by the buyer.

DELIVERY

Standard carriers we use are Airborne, DHL, UPS and Federal Express. Please specify surface, 2 day, overnight or alternate carrier. We normally ship from stock to within 30 days after receipt of order. Initial international shipments normally ship within 4 to 6 weeks of receipt of your signed ITA Forn 629P or import certificate.

SERVICE

WILTEC will repair our products according to the terms of our warranty. WILTEC will also repair out of warranty products on a time and materials basis. Inquire about the current standard rate.

SENDING MATERIAL FOR WARRANTY SERVICE TO WILTEC

Call our Contracts Administration department to request a Material Return Authorization (MRA) Number prior to returning any product to WILTEC. We will need your customer identification, the product model number, the invoice number, the invoice date, and a description of the problem. Warranteed product must be packed as it originally came from the factory in the original box and packing material along with all manuals, cables, cords and spare parts. Put the MRA number on the shipping documents and shipping container and ship the product to WILTEC freight prepaid. WILTEC cannot accept COD or freight collect shipments.

ONE YEAR LIMITED WARRANTY

WILTEC Inc. (WILTEC) will repair or replace, at its option, any of its tape or other subsystem products found to be defective in either materials or workmanship for the standard 90 days Limited Warranty period or extended warrantee period that can be purchased for 1 year, or two years from the date the subsystem leaves the factory. To receive service, call our Contracts Administration Department to obtain a Material Return Authorization (MRA) Number. Follow the instructions given by the Contracts Administrator and ship the complete product in the original shipping container(s) with freight prepaid to our Service Center. Improper packaging will result in voiding the product warranty. WILTEC will refuse product returns not accompanied by a valid Material Return Authorization (MRA) Number. WILTEC products found to operate improperly during the warranty period will be serviced free of charge, if the complete product is delivered at customer’s expense to our Service Center. We will do our best to ship the serviced product at our expense via surface within two working days. Customers requiring faster delivery may specify the desired mode of shipment at the customer’s expense, the shipment will then be freight collect. If improper operation is due to errors on the part of the customer or his agent , there will be a service charge. We are not responsible for damage caused by unauthorized modification, failure to follow written directions, misuse, abuse, theft, fire, normal wear and tear, or accidents. Return of a fully functioning unit meeting all advertised specifications is considered complete fulfillment of all warranty obligations assumed by WILTEC. Purchaser’s exclusive remedy and WILTEC's sole obligation shall be to repair or replace any defective component, as provided above. In no event shall WILTEC be responsible whether under this warranty in contract, tort, or otherwise, for any incidental, special, or consequential damages, whether or not caused by the negligence of WILTEC, and whether or not WILTEC shall have knowledge of the possibility of such potential damage. This agreement shall be construed in accordance with, and all disputes, disagreements or claim arising hereunder shall be governed by the laws of the state of North Carolina, and any claim shall be exclusively resolved by North Carolina state and federal courts. In consideration of the sale of products purchased from WILTEC, purchaser grants to WILTEC a purchase money security interest in the products supplied to secure payment to WILTEC of all monies owed.
